Dear Mr Adamenko,



Thank you for you message confirming that you hold 2,500 shares in Petropavlovsk and asking what is happening with the company.



Petropavlovsk PLC is subject to a formal UK insolvency (bankruptcy) proceeding, under which Joint Administrators were appointed on 18th July 2022 by the High Court in London to take control of its financial and other affairs. The Joint Administrators are officers of the Court. Despite operating a gold mining business in Russia, Petropavlovsk PLC is a UK-registered company and is subject to English and not Russian law.



The news on the case so far is explained in the many documents and updates, which have been posted on the Company’s website here: petropavlovskplc.com/administration-news/



A further Progress Report is due to be published this week. You will also be able to find this at the website link above.



Under UK insolvency law, funds can only be paid to shareholders after all creditors (including bondholders) have been paid in full. Unfortunately, it continues to be the Joint Administrators’ opinion that there will be no pay out for shareholders because there will be no funds left over once the creditors and bondholders of the Company have been paid. The shares in Petropavlovsk have no value and there is no process through which your shares can be sold or the money spent on their purchase can be recovered through the Administration. So, you will be unable to make any claim for compensation in the Administration and there is no need to send us any documentation.



If the potential outcome for shareholders changes, we will of course tell you.



Once the Administration has been completed, it is likely that the Company will eventually be dissolved, so that it and the shares you hold in it will cease to exist. We had hoped that the Administration would be finished in the first half of this year, but the further extension of the UK Sanctions regime late last year has created certain complex issues, which may take some time to resolve so the completion date is now uncertain.
