Twitter–The microblogging site is said to be in talks to buy music platform SoundCloud, according to the Financial Times.

T-Mobile U.S.–T-Mobile and Sprint are close to an agreement on a merger deal that would value T-Mobile at about $40 per share, according to CNBC's Andrew Ross Sorkin.
 
MSFT
Microsoft– The stock was upgraded to «outperform» from «market perform» at FBR Capital, which expressed confidence in new CEO Satya Nadella's plans for the company.
 
HALO
Shares of Halozyme (HALO) are up 12% premarket on modest volume this morning. Yesterday, the FDA lifted its clinical hold on the company's Phase 2 trial of PEGPH20.

JOY
Joy Global–The mining equipment maker earned 76 cents per share, excluding certain items, for its second quarter, five cents above estimates, though revenue was shy of forecasts. Its customers spent less on equipment as coal prices weakened.
 
VRNT
Verint Systems–Verint earned 72 cents per share for the first quarter, excluding certain items, 17 cents above estimates, with revenue also well above forecasts. The maker of data analysis software also raised its full year revenue outlook.
 
PVH
PVH–The company behind the Calvin Klein and Tommy Hilfiger brands earned $1.47 per share for the first quarter, excluding certain items, two cents below estimates, and also cut its full-year guidance because of margin pressures in North America.
 
CIEN
Ciena–The network equipment maker reported fiscal second quarter profit of 17 cents per share, excluding certain items, four cents above estimates. Revenue was above estimates as well, and the company said revenue trends will strengthen further in the second half of the year.

Pandora –The online radio service could be among the companies affected by news that the Justice Department will reexamine agreements with music licensing firms ASCAP and BMI. The increase in use of digital media has prompted the possible revision of those agreements, and that could eventually results in an increase in music royalty rates.

Protective Life–The life insurer agreed to be bought by Japan's Dai-ichi Life Insurance for $5.7 billion, or $70 per share. It's the largest ever acquisition by a Japanese insurance company.

Tibco Software–Tibco projected quarterly profit of 12 to 13 cents per share, below Street estimates cents, with revenue also falling below current estimates, as sales of its Spotfire analytics software come up shy of forecasts.

Hillshire Brands–Hillshire received an improved $55 per share takeover bid from Pilgrim's Pride, up from the original $45 and topping another bid from Tyson Foods of $50 per share. However, Hillshire said its prior agreement to buy Pinnacle Foods does not allow it to terminate that deal, a condition of both the Pilgrim's Pride and Tyson bids.

Las Vegas Sands, MGM, Wynn Resorts–A Deutsche Bank report cited by StreetInsider.com said Macau gaming revenue was up 9.3 percent in May, well below the firm's estimate of a 14.8 percent increase.

Krispy Kreme—The doughnut store chain matched estimates with first quarter profit of 23 cents per share, excluding certain items. However, revenue was light, and the company cut its full-year earnings guidance, in part because expenses related to technology upgrades.

Dollar General–The discount retailer reported quarterly profit of 72 cents per share, one cent short of estimates, with revenue also short of consensus. Dollar General points to poor winter weather and a competitive environment, among other factors, impacting its results.

Allergan– Valeant Pharmaceuticals has improved its takeover bid for Allergan, adding $10 per share to the cash portion, and adding a contingent value right that it said could be worth up to $25 per share. Separately, Valeant sold the rights to several of its skincare products to Nestle for $1.4 billion in cash.

TWTR

Twitter—Nomura Securities upgraded Twitter to «buy» from «neutral,» saying this year's drop in the stock price has resulted in a much more favorable risk/reward ratio. The firm now sees the possibility of product enhancements that could spur user growth and revenue per user.

DDD

3D Systems–3D announced a public offering of nearly six million shares, a move that will increase the 3D printer maker's outstanding shares by 5.8 percent. The company plans to use the proceeds for future acquisitions and for working capital.
